Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Exterior Pro Materials (“we”, “us”, or “our”) governing your access to and use of promaterials.ca (the “Site”). By browsing the Site, submitting a quote request, or creating a customer account, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you are using this Site on behalf of a business (such as a contracting company), you represent that you have authority to bind that business to these Terms.

promaterials.ca is a product catalogue and quote request platform. It is not an e-commerce store. You cannot purchase products directly through this website. No payment of any kind is processed or accepted on this Site.

The purpose of this Site is to allow contractors, builders, and other building professionals to:

• Browse our catalogue of exterior building materials
• Review product specifications, colour options, and technical datasheets
• Submit quote requests for pricing and availability
• Create an account to save product wishlists and manage quote history

All sales are conducted off-site, subject to separate quotation and purchase agreements between you and Exterior Pro Materials.

Submitting a quote request through this Site (the “RFQ form”) is an invitation to receive pricing and availability information - it is not a binding purchase order, not a contract, and does not obligate either party to complete a transaction.

A quotation provided by Exterior Pro Materials in response to your request is an offer to sell at the stated pricing and is subject to:

• Product availability at time of order
• Acceptance of the quotation within the validity period stated in the quote
• Agreement to our standard terms of sale communicated at time of quotation

We reserve the right to decline any quote request at our sole discretion.

We make reasonable efforts to ensure that product names, descriptions, specifications (including dimensions, coverage, wind resistance ratings, and warranty terms), colour options, and profile codes displayed on this Site are accurate and up to date. However:

• Product specifications are sourced from manufacturer catalogues and are subject to change by the manufacturer without notice.
• Colour representation on screen may differ from actual physical product colours due to monitor calibration and display settings. We strongly recommend requesting physical colour samples before finalizing a specification.
• Warranty terms displayed are provided for general reference. Actual warranty coverage is governed by the warranty documentation issued by the manufacturer at time of purchase. You should read the applicable manufacturer warranty before relying on it.
• Regional availability may limit which products can be supplied to your project location.

Exterior Pro Materials does not guarantee the completeness or accuracy of any product information and accepts no liability for decisions made in reliance on catalogue information without independent verification.

Technical datasheets available for download from the Resources section are generated from our product catalogue and are provided for informational reference only. For exact and current specifications, please contact us directly.

No pricing is displayed on this website. All pricing is provided by quotation only and is subject to:

• Current market and material costs at the time of quotation
• Order volume and product mix
• Product availability and lead times
• Your account type (standard or contractor account)

Quoted prices are not guaranteed beyond the validity period stated in your quote. We reserve the right to adjust pricing at any time for future orders.

You may register for a customer account to access features including wishlist management, saved quote history, address book, and the loyalty rewards program.

You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately if you suspect unauthorized access to your account

You must provide accurate and complete information when registering. We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for unauthorized purposes.

You may close your account at any time by contacting us at info@promaterials.ca. Account closure does not automatically delete enquiry records, which may be retained for legal and business record-keeping purposes.

Registered customers may earn loyalty points through qualifying actions including account creation, quote submissions, and referrals. Points may be redeemed in accordance with the terms of the program as communicated through your account dashboard.

Loyalty points have no monetary value, are not transferable, and cannot be exchanged for cash. We reserve the right to modify or discontinue the loyalty program at any time with reasonable notice to affected account holders.

Points earned through fraudulent activity (such as false referrals or duplicate accounts) will be forfeited and the associated account may be suspended.

All content on this Site - including text, page layouts, photography (where created by or for Exterior Pro Materials), product descriptions, category copy, and the website design - is the property of Exterior Pro Materials and is protected by Canadian copyright law. You may not reproduce, republish, distribute, or create derivative works from our content without our prior written consent.

You may download product datasheets for personal or project use. You may not redistribute datasheets commercially or represent them as your own.

This Site displays product information for goods manufactured by third parties. All brand names, trademarks, and product names are the property of their respective owners:

Manufacturer product warranties are the sole obligation of the respective manufacturer and are not guaranteed by Exterior Pro Materials unless otherwise stated in writing.

When you attach files (such as floor plans, drawings, or photographs) to a quote request, you grant us a limited, non-exclusive licence to store and use those files solely for the purpose of preparing your quotation. You represent that you have the right to share any files you upload and that they do not infringe any third-party rights.

Do not upload files containing confidential information beyond what is necessary for your quote request. We do not accept files containing malicious code; any such upload will be rejected and the associated account may be suspended.

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation
• Submit false or misleading information in quote requests or contact forms
• Attempt to gain unauthorized access to any part of the Site or its underlying systems
• Use automated tools (scrapers, bots, crawlers) to extract product data from the Site without our written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Create multiple accounts to circumvent account restrictions or manipulate the loyalty program
• Interfere with the proper functioning of the Site

The Site and all content on it are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that product information on the Site is complete, current, or accurate at all times.

To the fullest extent permitted by applicable law, Exterior Pro Materials, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use this Site, or from any reliance on content displayed on this Site.

Our total liability to you for any claim arising from your use of this Site shall not exceed the greater of (a) the amount you paid to us in the three months preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. For material changes, we will provide notice to registered customers by email.
